We provide transactional legal support for the entire M&A life cycle, from non-disclosure and offer letter negotiations through the purchase and sale agreement and settlement statement negotiations. When problems arise, we offer practical solutions for clients consideration.
We prepare and negotiate operating agreements, oil and gas leases, drilling contracts, master service agreements, seismic agreements, surface use and access agreements, and numerous other industry-related commercial contracts. We can answer general oil and gas law and land questions, including the proper deduction of post-production costs from lease royalties and how to properly allocate production.
Whether it's tract or unit based, drilling, division order or supplemental, we've prepared hundreds of title opinions covering lands in Texas, North Dakota, Colorado and Wyoming. We take pride in communicating with our clients and tailoring our title opinions in a manner that suits their land and division order departments. We communicate issues as they arise to help clients get a jump-start on their curative process and provide ownership tables in custom formats.
Title Due diligence
We've performed title due diligence on various acquisitions in formats that satisfy lending covenants and that comply with the title defect mechanics in purchase and sale documents. Our land and title experience help us explain risks, identify issues and develop reasonable solutions to obtain title certainty. Our experience working as and with land men results in a collaborative approach to the diligence process.
